Marks and Spencer Group plc (the 'Company') announces that it has been notified of the following transactions in the Company's Ordinary 25p shares undertaken by directors / persons discharging managerial responsibility ('PDMRs').

Please note: The Sharesave scheme is an all-employee, HMRC approved Save As You Earn Scheme.  Marks and Spencer employees can save an amount up to a maximum of £250 per month, either in one scheme or across a number of schemes, over a period of three years.  At the end of the period the amount saved can be used to buy Shares at a price set at the start of the relevant scheme saving period.  Employees can withdraw their participation at any time and have their money returned to them. The options to buy Shares are normally exercisable for 6 months from the end of the savings term.

Performance Share Plan Award 2017/18
As reported within the Company's Annual Report on 8 June 2017, the Performance Share Plan ('PSP') continues to be Marks & Spencer's primary long-term incentive plan for executives.  As a result, it was confirmed on 27 November 2017 that, on 24 November 2017, an award under the PSP was made to Jill McDonald, Managing Director, Clothing, Home and Beauty.

The award was granted as a conditional award, the vesting of which is subject to the satisfaction of certain predetermined performance conditions, as well as the continued employment of the participant.  Specifically, the vesting of the award will depend on relative Total Shareholder Return (TSR) the Company's Earnings Per Share (EPS) and Return On Capital Employed (ROCE) over a fixed three-year performance period starting on the first day of the financial year in which the award was granted.  On vesting, the award is subject to an additional, mandatory two-year holding period.  The value of dividends accrued, in the form of dividend equivalents, will be paid at the end of the period (third anniversary) based on the number of vested shares.  No consideration was paid for the grant of the award and no price is payable on the exercise of the award.  For the purposes of this award, the grant was made at a share price of £2.999.
 

Restricted Share Plan
It was confirmed on 27 November 2017 that, on 24 November 2017, awards were made under the Marks and Spencer Group Restricted Share Plan to Jill McDonald.  The grant of the awards was agreed as part of Jill's recruitment as Managing Director, Clothing, Home and Beauty of the Company and is intended to compensate her for the share incentives she forfeited under her previous employment as a result of joining the Company.  These awards were granted as conditional shares at a share price of £2.999 and will vest in four tranches over three years following the date of grant, subject to Jill's continued employment with the Company.  The value of dividends accrued, in the form of dividend equivalents, will be paid at the end of the relevant restricted period.
