On May 7, 2026, the Company, as borrower, and certain domestic subsidiaries, as guarantors, entered into the 2026 Credit Agreement with PNC and the Lenders, and PNC, as administrative agent for the lenders, pursuant to which PNC provided the Company with the 2026 Revolving Facility. See Note 15, “Subsequent Events” to the Consolidated Financial Statements for a description of the 2026 Credit Agreement. The 2026 Credit Agreement is attached to this Quarterly Report on Form 10-Q as Exhibit 10.1. The description of the 2026 Credit Agreement in Note 15, “Subsequent Events” is a summary only and is qualified in its entirety by the full text of the 2026 Credit Agreement.
