VOTING RIGHTS AND CAPITAL

Chippenham, UK, 1 May 2012: In accordance with the Financial Service Authority's Transparency Directive, Transitional Provision 6, Vectura Group plc (LSE: VEC) ("the Company") wishes to notify the market of the following:

The Company's issued share capital as at 30 April 2012 consists of 331,731,127 ordinary shares (previously, 331,685,931 ordinary shares as at 31 March 2012).  The Company does not hold any ordinary shares in Treasury.

Therefore, the total number of ordinary shares in the Company with voting rights is 331,731,127.

The above figure of 331,731,127 ordinary shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Service Authority's Disclosure and Transparency Rules.
